Terms of Service

Welcome to IdeaCoin. These Terms of Service ("Terms") govern your access to and use of the IdeaCoin website, platform, and services (collectively, the "Service") operated by SVAP Technologies LLC ("we," "us," or "our"), a limited liability company organized under the laws of California, United States.

By accessing or using IdeaCoin, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What IdeaCoin is

IdeaCoin is a marketplace where individual users ("Creators") list written ideas, concepts, methods, and similar intellectual content for sale, and other users ("Buyers") purchase non-exclusive licenses to access and use that content.

We are a marketplace facilitator. We do not create, own, or warrant the content listed by Creators. Transactions occur directly between Creators and Buyers, with IdeaCoin as the platform.

2. Eligibility and accounts

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use IdeaCoin. By creating an account, you confirm that you meet this requirement.

You agree to provide accurate, current information when creating your account, and to keep that information up to date. You are responsible for all activity that occurs under your account, including any content you list, purchases you make, and communications you send. Keep your account credentials secure; if you suspect unauthorized access, notify us immediately.

3. Listing ideas (Creators)

By listing an idea on IdeaCoin, you represent and warrant that:

• You are the sole author and lawful owner of the content, OR you have obtained all necessary rights and permissions to license it;
• The content does not infringe any copyright, trademark, trade secret, or other intellectual property right of any third party;
• The content does not contain confidential information of any employer, client, or other party who has not authorized you to share it;
• The content does not violate any applicable law, including laws against fraud, defamation, harassment, or discrimination.

You retain ownership of your content. By listing it, you grant IdeaCoin a non-exclusive, worldwide, royalty-free license to host, display, market, and distribute that content on the Service for the purpose of operating the marketplace. This license terminates when you remove the listing, except for content already purchased by Buyers (whose licenses persist).

You are solely responsible for the content you list, the accuracy of your listing, and any disputes that arise from a Buyer's use of your content.

4. Purchasing ideas (Buyers)

When you purchase a license on IdeaCoin, you receive the rights granted by the specific license type the Creator selected for that listing (typically Non-Exclusive License or Public Domain / CC0). Read the license terms carefully before purchasing.

Non-Exclusive License: You receive a perpetual, worldwide, non-transferable license to use the idea for any lawful purpose. The Creator retains ownership and may license the same idea to other Buyers. You may not resell or sublicense the content itself.

Public Domain (CC0): You receive a copy of the work under Creative Commons Zero terms, meaning the Creator has waived all copyright. The work is in the public domain.

Ideas, concepts, and abstract methods are not generally protectable under U.S. copyright law — only their specific written expression is. By purchasing a license, you acknowledge that you are acquiring rights to the specific written content listed, not a monopoly on the underlying concept. Other parties may independently arrive at and execute similar ideas without infringing your license.

5. Payments, fees, and refunds

All prices are listed in U.S. dollars. Payments are processed by Stripe, Inc., our third-party payment provider. By completing a purchase, you authorize Stripe to charge your selected payment method and you agree to Stripe's Terms of Service (available at stripe.com/legal/consumer) and Privacy Policy (available at stripe.com/privacy).

We do not store your full payment card information on our servers. Card details are collected and stored directly by Stripe in compliance with PCI-DSS standards. We receive only a transaction confirmation, the last four digits of the card, and the card brand — used for receipts and fraud prevention.

Creator payouts: Creators who list ideas for sale will receive payouts via Stripe Connect, subject to Stripe's payout schedules and any applicable hold periods. Creators must complete Stripe's identity verification (KYC) requirements before receiving payouts. Creators agree to Stripe Connect's Connected Account Agreement (available at stripe.com/legal/connect-account) as a condition of receiving payouts.

SVAP Technologies LLC may charge a platform fee on each sale, deducted from the Creator's payout before disbursement. The current fee structure is disclosed on the listing and dashboard pages and may change with advance notice.

All sales are final. Because purchases grant immediate access to digital intellectual content that cannot be "returned," we do not offer refunds. You acknowledge and agree that:

• Once a purchase is completed and the full content is unlocked, no refund will be issued under any circumstances, including dissatisfaction with the content's quality, applicability, or originality;
• You are responsible for reviewing the public preview before purchasing;
• Refunds may be issued solely at our discretion in cases of duplicate charges, technical errors that prevented content access, or demonstrated fraud by the Creator (such as plagiarized content).

Chargebacks and disputes: If you initiate a chargeback through your bank or card issuer in bad faith — that is, after accessing the content and absent a legitimate dispute — we reserve the right to suspend or terminate your account, block future transactions, and pursue recovery of the disputed amount along with any chargeback fees imposed by Stripe. Before disputing a charge with your bank, please email info@getideacoin.com so we can resolve the issue directly.

6. Prohibited content and conduct

You may not list, purchase, or use IdeaCoin to facilitate:

• Content that infringes anyone's intellectual property rights;
• Content stolen or derived from confidential sources (e.g., a former employer's trade secrets);
• Illegal goods or services, including controlled substances, weapons, fraudulent schemes, or content that incites violence;
• Sexually explicit material or content involving minors;
• Hate speech, harassment, or content that targets individuals or groups based on protected characteristics;
• Spam, scams, MLM recruitment, get-rich-quick schemes, or content that promises specific financial returns;
• Investment advice, legal advice, or medical advice presented as professional guidance;
• Malware, exploits, or other malicious code.

You may not scrape, crawl, or systematically download content from IdeaCoin without our written permission, attempt to circumvent the content gating, attempt to gain unauthorized access to other accounts, or interfere with the Service's operation.

7. Intellectual property

The IdeaCoin name, logo, design, and underlying technology are owned by SVAP Technologies LLC and protected by copyright, trademark, and other laws. You may not use them without our written permission.

If you believe content on IdeaCoin infringes your intellectual property rights, please send a notice meeting the requirements of the Digital Millennium Copyright Act (DMCA) to info@getideacoin.com.

8. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or if continued access poses risk to other users or the Service. Upon termination, your right to use the Service ends immediately. Listings purchased before termination remain accessible to the Buyers who purchased them.

You may close your account at any time by emailing us. If you have outstanding listings or pending payouts, we will work with you to complete those before final closure.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that listings are accurate, original, profitable, suitable for any purpose, or free of defects. We do not warrant that the Service will be uninterrupted, secure, or error-free.

You assume all risk in using the Service, including any reliance on ideas, concepts, or methods purchased. We strongly recommend you conduct your own due diligence before acting on any purchased content.

10. Limitation of liability

To the maximum extent permitted by law, SVAP Technologies LLC, its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim arising under these Terms will not exceed the greater of (a) the amount you paid to IdeaCoin in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless SVAP Technologies LLC from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) content you list, purchase, or distribute; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any dispute arising under these Terms must be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to personal jurisdiction there.

You and IdeaCoin agree to first attempt to resolve any dispute informally by emailing info@getideacoin.com before initiating formal proceedings.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date above and, for material changes, notify you via email or a prominent notice on the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.
